The Board of Directors responsibility is governance rather than management. Governance focuses on the companies’ wider issues of organisational purpose, including the setting and monitoring of strategic direction, and the establishment and monitoring of board-level policies.
The Board works in close partnership with the Executive Director to ensure that the Infoxchange objectives and goals are achieved. They also support the Executive Director to carry out his responsibilities.
Infoxchange Australia has adapted the Carver approach to governance. Carver bases his approach on the creation of policies that guide the board and the CEO in aspects of the board’s governance role.
